These terms and conditions apply to Elevate Clicks as a whole (including social media) and its services. Please take the time to read this entire document prior to becoming involved with any services associated with Elevate Clicks

Disclosure.
Elevate Clicks is not and will not be held liable for any unwanted click(s), like(s), follow(s), and hit(s) that occur to a client(s) website(s) and/or social media account(s).

Creation, development, and strategy of campaigns, ads, ad groups, keywords, negative keywords, keyword matches, conversions, call tracking, code tracking, Google analytics, newsletter, and website development consultation belong to Elevate Clicks and may only be used by client while under agreement.

Elevate Clicks has the right to terminate your account with or without reason. In doing so will result in a no refund, no cancellation fee, no cancellation penalty and client(s) advertising account will be returned to its original state before working with us.

Elevate Clicks will never release a client’s marketing strategy, personal contact information or any information considered proprietary to business to any potential client without receiving consent.

Flat Fee.
Elevate Clicks will charge a flat fee per month with either a twelve or twenty four month agreement for it services, which are, but are not limited to PPC management, Google Grant management, website design, illustration and website design.

Collection of Payments.
All payment must be collected electronically from client on a monthly basis – no exceptions will be made. Elevate Clicks will send client billing link, which must be completed prior to starting service.

Transparency Sentence.
All clients should list Elevate Clicks as their exclusive PPC management firm. This can be done with a code that should be placed on client’s website footer. Elevate Clicks will provide client(s) the HTML code needed to be placed on website footer. This code should be kept in place and not removed throughout the entirety of the agreement; however, transparency sentence is not a requirement.

Backlinks from Transparency Sentence.
We understand the complexity of search engine optimization (SEO) and never ask our clients to help us with increasing our organic search results. Therefore, all of our transparency sentences are ”no follow” links. Refunds.
There will not be any refunds from Elevate Clicks under any circumstances, this includes but is not limited to bankruptcy, change of business name, loss of revenue, and change of business ownership.

End of Agreement or Cancellation.
If client cancels within agreement, client must pay 100% of the remaining balance. Failure to pay gives Elevate Clicks the right to pursue legal actions and/or report client to a collections agency. At cancellation or end of agreement without continuing service, we will return your account(s) to their original state before working with us.

Elevate Clicks may release a client case study; however, permission from client must be granted prior to publishing a case study. Once granted, client may change their decision and request Elevate Clicks to remove their case study; however, once case study has been published Elevate Clicks will solely decide whether or not to remove the published case study.

At service hire, Elevate Clicks will request permission to use client’s logo. The logo will be used, but is not limited to be displayed on case studies, social media sites, and www.elevateclicks.com

Until two (2) years after the termination of agreement, each party protects as confidential, and shall not disclose to any third party, any Proprietary Information received from the disclosing party or otherwise discovered by the receiving party during the Term of agreement, including, but not limited to, the pricing and terms of contract agreement and services received by client, and any information relating to the disclosing party’s technology, business affairs, and marketing or sales information (collectively the “Proprietary Information”). The parties shall use Proprietary Information only for the purposes of service agreement.

Elevate Clicks represents and warrants that all services performed under this agreement will be of professional quality and will conform to generally accepted industry standards. Except as specifically set forth on service agreement, Elevate Clicks makes no other warranties, express or implied.

Elevate Clicks is not liable for client(s) indirect, consequential, incidental or punitive damages, including without limitation, loss of Yaho Bing/Adwords account and/or lost business, revenue, profits, or good well, arising in connection with this terms, even if the party knew or should have known of the possibility of such damages. This limitation of liability applies to all types of legal theories, including without limitation, contract, tort, professional liability, product liability, warranty or otherwise.

These terms and conditions shall be governed by the laws of the State of California without regards to its choice of law principles. All notices shall be in writing and transmitted via electronic mail, fax, certified, or registered mail to the parties at the address set forth on these terms and conditions. These terms and conditions constitutes the entire agreement between the parties with respect to the subject matter and supersedes all other representations, understandings or agreements that are not expressed herein, whether oral or written. Except as otherwise set forth herein, no amendment to this agreement shall be valid unless in writing and signed by both parties.

Reasonable efforts will be made to keep information in this terms and conditions unchanged; however, Elevate Clicks reserves the right in its sole discretion to amend, replace, and/or terminate this policy at any time. Elevate Clicks reserves the right to change these terms and conditions at any time with or without notice and client must agree to abide by the most recent terms and conditions.
